Terms of Service.

The agreement between you and SearchSpot. Written in plain language so you actually know what you're signing up for.

Welcome to SearchSpot.

These Terms of Service ("Terms") govern your access to and use of SearchSpot, a Relationship Intelligence CRM platform operated by SearchSpot, a division of Triangle Merchant Services LLC ("SearchSpot," "we," "us," or "our"), a North Carolina limited liability company.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Please read these Terms carefully.

These Terms include an arbitration agreement and class action waiver in Section 14. By using SearchSpot, you agree that disputes will be resolved by binding individual arbitration rather than in court. This affects how disputes are resolved.

01. Acceptance of Terms.

By creating an account, accessing, or using the SearchSpot Service in any way, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

You must be at least 18 years old to use the Service. By using SearchSpot, you represent and warrant that you meet this age requirement.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.

02. Description of Service.

SearchSpot is a Relationship Intelligence CRM platform that helps professionals research prospects, generate AI-personalized outreach, manage relationships, send physical mail through integrated partners, and order branded gifts. The Service includes features such as:

  • Prospect Intelligence: Research tools, dossier building, and intel gathering
  • AI-Powered Outreach: Personalized email, phone, text, and icebreaker scripts
  • The Playbook: Pre-event intelligence briefings on attendees
  • Relationship Autopilot: Automated relationship maintenance suggestions
  • AI Coach: Daily action plans and coaching
  • Integrations: PostGrid (physical mail) and Printify (branded gifts) fulfillment
  • Operations Tools: Calendar, pipeline, notes, voice memos, and reporting

We continuously update, enhance, and modify the Service. Features may be added, modified, or removed at our discretion. We will provide reasonable notice for material changes that affect core functionality.

03. User accounts.

To use SearchSpot, you must create an account. You are responsible for:

  • Providing accurate, current, and complete information during registration
  • Maintaining and updating your account information
  • Keeping your password secure and confidential
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

One account per individual. You may not share account credentials with other users. Teams accounts have separate per-seat licensing terms.

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for extended periods, or engage in fraudulent activity.

04. Subscription & billing.
Pricing

SearchSpot is offered on a subscription basis. Current pricing is published on our Pricing page. As of the date of these Terms:

  • Individual: $149 per month or $1,428 per year
  • Teams: $99 per seat per month or $948 per seat per year (3-seat minimum)
Billing Cycle

Subscriptions automatically renew at the end of each billing period unless cancelled. Monthly subscriptions renew monthly; annual subscriptions renew annually. You authorize us to charge your payment method for the applicable fees on each renewal date.

Price Changes

We may change subscription prices. For active subscribers, price changes will be communicated at least 30 days in advance and take effect at the start of your next billing period. Continued use after the effective date constitutes acceptance of the new pricing.

Third-Party Integration Costs

PostGrid and Printify charges are separate from your SearchSpot subscription. When you send postcards through PostGrid or gifts through Printify, those charges are billed directly to your account with those providers. SearchSpot takes no markup on these services.

Cancellation

You may cancel your subscription at any time through your account Settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then. No refunds are provided for partial billing periods except as required by law or under our money-back guarantee (see Section 5).

Failed Payments

If your payment method fails, we will attempt to charge it again. After repeated failures, your account may be suspended until payment is resolved. You remain responsible for all unpaid fees during this period.

05. Free trial & guarantee.
7-Day Free Trial

New accounts receive a 7-day free trial with access to all features. No credit card is required to start the trial. At the end of the trial, you may choose to subscribe or your account will become inactive.

14-Day Money-Back Guarantee

If, within 14 days of your subscription starting (after the free trial), you are not satisfied with the Service, you may request a full refund of your first month's payment by contacting us through our contact page. For annual subscribers, we will refund the unused portion of your annual fee on a prorated basis.

The money-back guarantee applies once per customer. Subsequent cancellations are not eligible for refund except as required by law.

Important
PostGrid & Printify Charges Are Not Refundable

The 14-day money-back guarantee covers only your SearchSpot subscription. Charges incurred through PostGrid and Printify for postcards and gifts you sent are billed directly by those providers and are not refundable by SearchSpot.

06. Acceptable use.

You agree to use SearchSpot only for lawful business purposes and in accordance with these Terms. You will not:

  • Use the Service for any illegal, fraudulent, deceptive, or unauthorized purpose
  • Send spam, unsolicited bulk communications, or violate anti-spam laws (including CAN-SPAM and TCPA)
  • Harass, abuse, threaten, or intimidate other individuals through the Service
  • Collect, store, or use information about individuals without their knowledge or consent in violation of applicable privacy laws
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Resell, sublicense, rent, lease, or otherwise commercially exploit the Service without our written consent
  • Use automated tools, bots, scrapers, or other means to access the Service in ways that exceed normal human usage
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems
  • Interfere with, disrupt, or overload the Service or its infrastructure
  • Use the Service to violate any third party's rights, including intellectual property and privacy rights
  • Upload, transmit, or generate content that is defamatory, obscene, hateful, or otherwise objectionable

Violation of these acceptable use rules may result in immediate suspension or termination of your account without refund.

07. Your content.
Ownership

You own your content. All prospect data, notes, voice memos, business card scans, scripts, and other information you create or upload to SearchSpot ("Your Content") remains your property. We claim no ownership over Your Content.

License to Operate the Service

You grant SearchSpot a limited, non-exclusive, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete the content or close your account, subject to legal retention requirements described in our Privacy Policy.

Your Responsibilities

You are solely responsible for Your Content and the consequences of uploading or using it. You represent and warrant that:

  • You have all necessary rights to upload and use Your Content within the Service
  • Your Content does not violate any third party's rights, including intellectual property and privacy rights
  • Your collection and use of information about prospects complies with applicable laws (including CAN-SPAM, TCPA, GDPR where applicable, and state privacy laws)
  • You will obtain any required consents from individuals whose information you store in the Service
Data Export

You may export Your Content as CSV at any time from your account Settings. We provide this capability so that your data is always portable and accessible to you.

08. Intellectual property.
Our IP

The Service, including all software, design, content, features, trademarks, logos, and underlying technology, is owned by SearchSpot, Triangle Merchant Services LLC, and our licensors. The "SearchSpot" name and logo are trademarks of Triangle Merchant Services LLC. All rights not expressly granted to you are reserved.

Your License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

Restrictions

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any portion of it. You may not use our trademarks, logos, or branding without our prior written consent.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service. We may use feedback without compensation or attribution.

09. Third-party services.

SearchSpot integrates with various third-party services, including but not limited to:

  • PostGrid: Physical mail printing and delivery
  • Printify: Branded gift fulfillment and shipping
  • Supabase: Database and authentication infrastructure
  • Anthropic: AI processing for scripts and recommendations
  • Calendar Services: Apple, Google, and Outlook calendar integrations
  • Payment Processors: Secure payment handling

Your use of third-party services is governed by their own terms and privacy policies. SearchSpot is not responsible for the availability, accuracy, content, or practices of third-party services. Charges incurred through third-party services (such as PostGrid postage fees or Printify product costs) are billed directly by those providers.

We may modify, change, or discontinue third-party integrations at any time. We are not liable for any disruption to your workflow caused by changes to third-party services.

10. AI-generated content.

SearchSpot uses artificial intelligence to generate scripts, recommendations, briefings, and other outputs based on data you provide. You acknowledge and agree that:

  • AI outputs may contain errors, inaccuracies, or biases. Review all AI-generated content before sending or relying on it.
  • You are responsible for the content you send. SearchSpot does not review or pre-approve outreach you send to prospects.
  • AI outputs are not legal, financial, medical, or professional advice. Do not rely on AI-generated content as a substitute for qualified professional judgment.
  • AI outputs may be similar across users. Common patterns may produce similar outputs for different users. We make no warranty of uniqueness.
  • You retain responsibility for compliance. Outreach you send must comply with CAN-SPAM, TCPA, and other applicable laws regardless of whether AI generated it.

Always Review Before Sending

AI-generated scripts, emails, and messages should be reviewed and personalized before sending. Treat AI output as a starting point, not a final product.

11. Termination.
Termination by You

You may terminate your account at any time by cancelling your subscription in your account Settings. After cancellation, you retain access until the end of your current billing period.

Termination by Us

We may suspend or terminate your account immediately, without notice or liability, for any reason, including:

  • Violation of these Terms or our Acceptable Use policy
  • Failure to pay subscription fees
  • Fraudulent activity or misuse of the Service
  • Legal obligation or court order requiring us to do so
  • Extended inactivity (12 months or more) without paid subscription
Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain Your Content for 30 days after termination to allow for data export, after which it may be permanently deleted, except where retention is required by law. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and arbitration) will survive.

12. Disclaimers.

"AS IS" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

  • The Service will meet your specific requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will help you close deals, build relationships, or generate revenue

SearchSpot makes no warranties or representations about the accuracy, completeness, or reliability of AI-generated content, prospect research data, gift recommendations, or any other output. You assume all risk associated with use of the Service and its outputs.

13. Limitation of liability.

Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SEARCHSPOT, TRIANGLE MERCHANT SERVICES LLC, OR OUR AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total cumulative liability to you for all claims arising from or related to the Service is limited to the greater of (a) the amount you paid to SearchSpot in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

These limitations apply regardless of the legal theory on which the claim is based (contract, tort, statute, or otherwise) and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow limitation of certain damages, in which case our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless SearchSpot, Triangle Merchant Services LLC, and our affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including privacy or intellectual property rights; or (d) Your Content.

14. Arbitration & disputes.

Binding Arbitration & Class Action Waiver

BY AGREEING TO THESE TERMS, YOU AND SEARCHSPOT EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT. Disputes will be resolved by binding individual arbitration rather than in court, except as described below.

Informal Resolution First

Before initiating arbitration, you agree to first attempt to resolve any dispute by contacting us through our contact page. We will work in good faith to resolve disputes informally within 60 days.

Arbitration Process

If informal resolution fails, disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Raleigh, North Carolina, or by video conference if both parties agree. The arbitrator's decision will be final and binding.

Class Action Waiver

You and SearchSpot agree that disputes will be brought only on an individual basis, not as a class action, collective action, or representative action. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

Exceptions

This arbitration agreement does not apply to: (a) small claims court actions, which may be brought in your local small claims court; (b) actions seeking injunctive relief for intellectual property infringement; or (c) any other matter where arbitration is prohibited by applicable law.

Right to Opt Out

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by contacting us through our contact page with the subject line "Arbitration Opt-Out" and including your account email. Opting out will not affect any other portion of these Terms.

15. Governing law.

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles. For matters not subject to arbitration, the state and federal courts located in Wake County, North Carolina will have exclusive jurisdiction, and you consent to personal jurisdiction in those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16. General provisions.
Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SearchSpot regarding the Service and supersede all prior agreements, communications, and representations.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SearchSpot.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to a successor entity or affiliate, including in connection with a merger, acquisition, or sale of assets.

Force Majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, acts of war or terrorism, government actions, labor disputes, internet or telecommunications failures, or third-party service outages.

Notices

Notices to you may be sent via email to the address associated with your account or posted on the Service. Notices to us should be sent through our contact page.

Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and SearchSpot. Neither party has authority to bind the other.
